TERMS & CONDITIONS FOR VOYAGE DESTINATION WEDDINGS
GET UP 2 GO, LLC d/b/a VOYAGE DESTINATION WEDDINGS
Effective Date: August 13, 2023
IMPORTANT: PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. THESE TERMS CONTAIN IMPORTANT PROVISIONS REGARDING NON-REFUNDABLE PAYMENTS, TRAVEL INSURANCE, THIRD-PARTY SUPPLIERS, LIMITATIONS OF LIABILITY, ASSUMPTION OF RISK, CHARGEBACKS, COLLECTIONS, AND BINDING ARBITRATION.
Welcome to Voyage Destination Weddings.
These Terms and Conditions ("Terms") govern travel planning, booking, reservation, administrative, communication, coordination, payment-processing, and related services provided by Get Up 2 Go, LLC d/b/a Voyage Destination Weddings ("Voyage," "Seller," "we," "us," or "our") to the person purchasing, registering for, or receiving Services ("Customer," "Traveler," "Guest," "you," or "your").
By checking a box accepting these Terms, electronically signing, submitting a registration, authorizing payment, or completing a transaction after these Terms are presented to you, you acknowledge that you have read, understand, and agree to be legally bound by these Terms.
If you do not agree to these Terms, do not register, submit payment, or use the Services.
Questions and formal notices may be directed to info@voyagedestinationweddings.com.
1. APPLICABILITY, DEFINITIONS, AND ENTIRE TRANSACTION
These Terms govern all Services provided by Voyage in connection with a booking or reservation. Your agreement with Voyage may also include, as applicable, your booking or registration confirmation, Sales Confirmation or invoice, payment schedule, trip-specific booking page, rooming confirmation, Supplier confirmation, travel itinerary, insurance election and insurance policy documents, Trip Protection terms, applicable Supplier terms, activity or excursion waivers, and any other written terms expressly incorporated into your transaction. Collectively, these documents constitute the "Agreement."
Where a specifically negotiated written agreement signed by an authorized representative of Voyage conflicts with these general Terms, the specifically negotiated agreement shall control solely with respect to the subject matter expressly addressed in that agreement.
No promoter, host, influencer, ambassador, contractor, hotel employee, excursion provider, group leader, Supplier, or other third party has authority to amend, waive, modify, or make representations inconsistent with these Terms on behalf of Voyage unless expressly authorized in writing by an officer of Get Up 2 Go, LLC.
2. Voyage's ROLE AS TRAVEL INTERMEDIARY
Voyage provides travel planning, reservation, administrative, communication, and coordination services and acts as an intermediary between Customers and independent third-party travel, hospitality, transportation, entertainment, and activity providers ("Suppliers").
Voyage DOES NOT OWN, OPERATE, MANAGE, CONTROL, SUPERVISE, STAFF, OR DIRECT THE UNDERLYING HOTEL, RESORT, AIRLINE, TRANSPORTATION, EVENT, VENUE, DINING, ENTERTAINMENT, EXCURSION, TOUR, BOAT, RECREATIONAL, OR OTHER THIRD-PARTY SERVICES ASSOCIATED WITH A Voyage WEEKEND.
Suppliers may include hotels and resorts, airlines, ground transportation and transfer companies, boat and vessel operators, restaurants, event and nightlife venues, entertainment providers, excursion and activity providers, tour providers, recreational providers, photographers, destination management companies, and other independent businesses.
Each Supplier is an independently owned and managed business and controls its own personnel, contractors, equipment, facilities, vehicles, vessels, operations, security, safety procedures, schedules, policies, and delivery of services. Voyage does not have the right or authority to control the day-to-day operations of any independent Supplier.
Voyage's involvement may include identifying available Supplier services, negotiating or facilitating group rates, facilitating reservations, transmitting Customer information, collecting or processing authorized payments where applicable, communicating information supplied by a Supplier, coordinating reservation counts, maintaining Customer registration information, communicating schedules or meeting locations, distributing credentials, and assisting Customers with administrative matters relating to their reservations. Such activities do not constitute ownership or operational control of the Supplier or its services.
References in Voyage marketing materials, communications, itineraries, websites, social-media content, or branding to a "Voyage Destination Wedding," "Voyage Event," "Voyage Experience," "Voyage Activity," "Voyage Excursion," "Voyage Function," or similar terminology are used for branding, identification, scheduling, and communication purposes.
SUCH TERMINOLOGY DOES NOT MEAN THAT VOYAGE IS THE OWNER, OPERATOR, PRODUCER, MANAGER, CARRIER, VENUE OPERATOR, TOUR OPERATOR, EXCURSION OPERATOR, OR DIRECT PROVIDER OF THE UNDERLYING THIRD-PARTY SERVICE.
The presence of a Voyage representative at a destination, hotel, resort, venue, meeting point, activity, transportation pickup location, or other location does not alter the independent status of the applicable Supplier or mean that Voyage operates, manages, supervises, or controls the Supplier's services.
Voyage may receive service fees, commissions, incentives, concessions, or other compensation in connection with travel transactions. Receipt of such compensation does not establish an employment relationship, partnership, joint venture, agency relationship, or other relationship giving Voyage operational control over an independent Supplier.
3. BOOKINGS, RESERVATIONS, AND CUSTOMER INFORMATION
All reservations are subject to availability, confirmation, these Terms, and the applicable Supplier's requirements.
Customer agrees to comply with all reasonable booking instructions and deadlines communicated by Voyage throughout the lifecycle of the reservation. Such requirements may include registration, payment of a registration fee or deposit, Payment 1, subsequent installment payments, final payment, room selection, roommate information, legal-name verification, passport information, flight submission, insurance elections, Supplier forms, and other information reasonably necessary to facilitate the booking.
Failure to timely satisfy a booking requirement may result in cancellation, loss of the reservation, loss of promotional pricing, additional Supplier charges, loss of included transportation, loss of particular room inventory, loss of group benefits, or other consequences arising from the applicable Supplier's requirements.
Customer is responsible for ensuring that all information provided to Voyage is accurate and complete. Names supplied for airline tickets, hotels, transfers, and other reservations should exactly match the identification or travel documents the Customer will use. Voyage is not responsible for additional costs, denied services, missed reservations, or other losses resulting from inaccurate, incomplete, or untimely information supplied by Customer.
If Customer makes a reservation or payment on behalf of another Traveler, Customer represents that Customer is authorized to do so and is responsible for ensuring that such Traveler receives these Terms and all applicable booking, Supplier, insurance, payment, and travel information.
A registration, deposit, or payment does not guarantee a particular room, flight, Supplier service, activity, event, or other reservation until confirmation has been received from the applicable Supplier.
4. PAYMENT TERMS, FEES, AND DEFAULT
Customer agrees to make all payments according to the payment schedule associated with the reservation. Payments must be submitted through a payment method authorized by Voyage.
By providing payment information, Customer represents that Customer is an authorized user of the payment method and authorizes Voyage and its payment processors to process each transaction expressly authorized by Customer, including any scheduled or recurring payment separately authorized by Customer.
Unless otherwise stated in the applicable booking materials, each scheduled payment is subject to a three (3) calendar-day grace period following its due date. A $50 late fee may be assessed following expiration of the grace period. If an account remains delinquent for fifteen (15) calendar days, Voyage may cancel the reservation. Voyage is not required to provide repeated notices or payment reminders before exercising its cancellation rights.
Cancellation resulting from non-payment may result in forfeiture of amounts previously paid to the extent such amounts are non-refundable under this Agreement or the applicable Supplier's terms. Voyage is not obligated to reinstate a canceled reservation. Any reinstatement may be conditioned upon availability, payment of all outstanding amounts and fees, acceptance of current Supplier pricing, and satisfaction of any additional Supplier requirements.
A declined payment, expired card, replacement card, insufficient funds, banking error, unsuccessful automatic payment, or failure of a payment processor does not relieve Customer of the obligation to make timely payment.
Supplier rates, taxes, governmental charges, fuel surcharges, resort fees, destination fees, exchange-rate adjustments, or other third-party charges may change after booking where permitted by the Supplier's terms. Unless Voyage expressly agrees otherwise in writing, Customer is responsible for increases properly imposed by a Supplier or governmental authority.
GROUP RATE MINIMUM. Unless otherwise stated in the applicable booking materials or Supplier agreement, group rates are conditioned upon the group maintaining a contracted room block of at least ten (10) guest rooms. If the number of rooms remaining in the contracted room block falls below ten (10) rooms because of cancellations, non-payment, attrition, reductions, or other changes, the applicable Supplier may revise or withdraw the group rate and any related group concessions, amenities, or benefits. Any resulting increase in the applicable room rate or other Supplier-imposed charge may be passed through to the affected Customer to the extent permitted by the Supplier's terms, this Agreement, and applicable law. Voyage will communicate any known pricing adjustment to affected Customers as commercially reasonable.
5. REGISTRATION FEES, DEPOSITS, AND PAYMENT 1
The applicable booking page or Sales Confirmation will identify the purpose and treatment of the registration fee, deposit, Payment 1, or other initial payment.
Unless expressly stated otherwise, registration fees, administrative fees, service fees, and deposits are non-refundable and non-transferable after they are earned, committed, paid to a Supplier, or otherwise become non-refundable.
For bookings where the registration or deposit is specifically designated as a hold against the projected cost of Travel Insurance and/or Trip Protection, the registration amount is not treated as a payment toward accommodations unless expressly stated otherwise. The reservation may not be fully secured until Payment 1 and any other required amounts have been successfully processed.
Where applicable, the date Payment 1 is made will be treated as the initial trip-payment date for determining applicable insurance eligibility deadlines. If the actual insurance cost exceeds the amount held, Voyage may request Customer authorization for the additional amount before facilitating the purchase. If the actual insurance cost is less than the amount held, any difference will be handled in accordance with the applicable booking disclosure.
If Customer timely declines Travel Insurance or Trip Protection, any amount eligible for refund or credit will be processed in accordance with the applicable booking disclosure and insurance election.
PAYMENT OF A REGISTRATION FEE OR DEPOSIT DOES NOT, BY ITSELF, MEAN THAT TRAVEL INSURANCE HAS BEEN PURCHASED OR THAT A SUPPLIER RESERVATION HAS BEEN FULLY CONFIRMED.
6. NON-REFUNDABLE AND NON-TRANSFERABLE PAYMENTS; CUSTOMER CANCELLATIONS
EXCEPT AS EXPRESSLY PROVIDED IN WRITING OR REQUIRED BY APPLICABLE LAW, ALL PAYMENTS MADE TO OR THROUGH Voyage ARE NON-REFUNDABLE AND NON-TRANSFERABLE.
Voyage and its Suppliers rely upon Customer registrations to reserve inventory, negotiate or maintain group pricing, satisfy contractual obligations, facilitate room blocks, secure transportation capacity, reserve third-party services, and make other financial commitments. Accordingly, Customer's inability or decision not to travel does not create an automatic right to a refund.
This policy applies regardless of whether cancellation results from a change of mind, fear or reluctance to travel, work obligations, failure to obtain approved leave, financial hardship, relationship changes, roommate disputes, pregnancy, illness or injury except to the extent covered by applicable insurance, personal emergencies, passport or visa problems, failure to satisfy destination-entry requirements, denied boarding, missed or canceled flights, failure to purchase airfare, failure to timely submit required information, or another personal circumstance affecting Customer's willingness or ability to travel.
All cancellation requests must be submitted in writing to info@voyagedestinationweddings.com. The effective cancellation date is the date on which Voyage receives the written cancellation request.
Cancellation remains subject to these Terms, any trip-specific cancellation provisions, applicable Supplier cancellation policies, applicable Travel Insurance policy terms, applicable Trip Protection terms, and amounts already contractually committed, paid, earned, or otherwise made non-refundable.
There is no refund for any unused portion of a Service merely because Customer elects not to use it, arrives late, departs early, misses an activity, fails to satisfy Supplier requirements, or otherwise fails to use an available Supplier service for reasons not resulting from a breach of this Agreement by Voyage.
Reservations may not be transferred to another person unless approved by Voyage and every affected Supplier. Any approved name change, room change, reservation modification, or transfer may be subject to administrative fees, Supplier fees, rate differences, loss of promotional pricing, insurance consequences, or other costs.
7. TRAVEL INSURANCE AND TRIP PROTECTION
Voyage strongly encourages Customers to protect their travel investment.
GET UP 2 GO, LLC d/b/a VOYAGE DESTINATION WEDDINGS IS A TRAVEL BUSINESS. VOYAGE IS NOT THE INSURER, UNDERWRITER, OR CLAIMS ADMINISTRATOR OF THIRD-PARTY TRAVEL INSURANCE.
Where Travel Insurance is offered or facilitated through Voyage, insurance is provided through or under the direction of an appropriately licensed insurer or insurance producer as required by applicable law. Travel Insurance is not required to purchase other Voyage travel services unless a particular Supplier lawfully imposes a separate requirement.
Where insurance is offered, Customer will be provided or directed to the applicable policy materials identifying the insurer or producer and describing applicable coverage, material terms, price, claims procedures, and policy review or cancellation procedures.
Voyage personnel who are not individually licensed insurance producers are not authorized to interpret technical policy terms, determine whether a particular event or loss is covered, evaluate Customer's existing insurance coverage, determine the adequacy of coverage, guarantee that a claim will be approved, or represent themselves as insurance experts. Customer may have insurance or other benefits from additional sources and is responsible for determining whether other coverage exists and whether additional coverage is appropriate.
Cancel For Any Reason Coverage
Certain Travel Insurance products may include or offer a Cancel For Any Reason ("CFAR") benefit. CFAR coverage may be subject to purchase deadlines, initial trip-payment deadlines, eligibility rules, trip-payment requirements, cancellation deadlines, reimbursement percentages, maximum benefits, documentation requirements, state-specific rules, and other policy conditions established by the applicable insurer.
Where a particular CFAR product requires election or purchase within fifteen (15) calendar days of Payment 1 or another initial trip payment, Customer must complete all applicable requirements within that period. Failure to timely register, make Payment 1, submit necessary information, authorize insurance, or otherwise satisfy the insurer's requirements may result in loss of eligibility.
Voyage DOES NOT GUARANTEE APPROVAL OR PAYMENT OF ANY TRAVEL INSURANCE OR CFAR CLAIM.
All Travel Insurance claims are reviewed, approved, denied, and paid by the applicable insurer or claims administrator according to the applicable policy. Customer is responsible for timely submitting all documentation and complying with all requirements imposed by the insurer or claims administrator.
Voyage may reasonably assist Customer in obtaining booking records maintained by Voyage but does not adjudicate, prosecute, approve, deny, or control the Customer's insurance claim.
Trip Protection
Voyage may also facilitate or make available a separate Trip Protection program. Unless expressly identified as insurance, Trip Protection is separate from Travel Insurance and is governed by its own written terms, eligibility requirements, exclusions, conditions, deadlines, and maximum benefits.
Any description of protection of "up to 100%" of eligible trip costs refers only to the potential combined benefits that may be available under applicable Travel Insurance and/or separate Trip Protection programs.
NO REFERENCE TO "UP TO 100%" PROTECTION CONSTITUTES A GUARANTEE THAT CUSTOMER WILL RECEIVE A 100% REFUND OR REIMBURSEMENT.
If Customer declines Travel Insurance, fails to obtain coverage within the applicable eligibility period, or otherwise becomes ineligible for coverage, Customer accepts the financial risk associated with Voyage's non-refundable booking policy.
8. FLIGHTS, GROUND TRANSPORTATION, AND TRAVEL DOCUMENTS
UNLESS EXPRESSLY STATED OTHERWISE IN WRITING, AIRLINE RESERVATIONS AND AIRFARE ARE NOT INCLUDED IN THE SERVICES.
Customer is solely responsible for obtaining appropriate air transportation and ensuring that flight schedules permit timely arrival for hotel reservations, transportation arrangements, and other Supplier services.
Voyage is not responsible for flight delays, cancellations, schedule changes, missed connections, denied boarding, aircraft changes, mechanical problems, lost, damaged, or delayed baggage, airline strikes, airline insolvency, security delays, weather disruptions, or other acts or omissions of an airline.
Failure to obtain airfare or an appropriate flight does not create a right to cancel otherwise valid Supplier reservations without being subject to the applicable cancellation terms. Where Voyage separately facilitates airline reservations, the applicable airline's fare rules, conditions of carriage, cancellation provisions, and other terms govern the air transportation.
Any airport transfer, shuttle, ground transportation, boat transfer, charter, or similar transportation facilitated in connection with Voyage is provided by an independent Supplier unless expressly stated otherwise in writing.
VOYAGE IS NOT A MOTOR CARRIER, DRIVER, TRANSPORTATION OPERATOR, OR OWNER OR OPERATOR OF THE VEHICLES OR VESSELS USED BY INDEPENDENT TRANSPORTATION SUPPLIERS.
Included transportation, where offered, may be limited to designated airports, official travel dates, specified arrival and departure windows, identified pickup locations, and Customers who timely submit accurate flight information. Customers traveling outside applicable transportation parameters may be required to arrange and pay for separate transportation.
Customer is solely responsible for satisfying all passport, visa, immigration, customs, transit, health, vaccination, governmental authorization, and destination-entry requirements applicable to Customer.
Requirements may vary based upon citizenship, residency, destination, transit country, age, health, criminal history, passport history, or other individual circumstances. Voyage may provide general travel information as a courtesy but does not make or guarantee governmental entry determinations.
Government authorities have exclusive authority over admission, transit, immigration, and border decisions. Denied boarding, denied entry, detention, deportation, passport problems, visa problems, or failure to satisfy governmental requirements do not create a right to a refund from Voyage.
9. ACCOMMODATIONS, BEDDING, ROOMMATES, AND OCCUPANCY
Voyage will use commercially reasonable efforts to facilitate the room category reflected in Customer's confirmed reservation. Hotels and resorts, however, retain control over their inventory, room assignments, maintenance, and day-to-day operations.
Unless expressly guaranteed in writing by the applicable Supplier, bedding configurations such as one king bed versus two beds, floor location, building location, views, connecting or adjoining rooms, proximity to other Travelers, early check-in, late checkout, and similar preferences are requests only and remain subject to Supplier availability.
Voyage does not guarantee fulfillment of a Supplier request.
Pricing may be based upon double, triple, or other shared occupancy. If a roommate cancels, fails to pay, is removed from the reservation, changes accommodations, or otherwise does not travel, the remaining Traveler or Travelers may become responsible for any resulting single-occupancy supplement, increased room rate, Supplier charge, repricing, or other occupancy-related cost.
Where Voyage facilitates roommate matching, such service is provided solely as a convenience.
Voyage DOES NOT GUARANTEE ROOMMATE COMPATIBILITY AND IS NOT RESPONSIBLE FOR INTERPERSONAL DISPUTES BETWEEN ROOMMATES.
This includes disagreements regarding personality, schedules, cleanliness, noise, sleeping habits, visitors, lifestyle, personal conduct, room use, or other interpersonal matters. Voyage may attempt to assist with a roommate concern as a customer-service accommodation but does not guarantee that an alternative room or roommate will be available.
Any Customer-requested room modification remains subject to Supplier approval and availability and may require additional payment.
10. THIRD-PARTY EVENTS, ACTIVITIES, EXCURSIONS, AND ACCESS
Events, dining experiences, entertainment, nightlife, excursions, recreational activities, tours, boating, transportation, and other services associated with a Voyage Destination Wedding are provided and operated by independent third-party Suppliers.
Voyage DOES NOT OPERATE, MANAGE, STAFF, SUPERVISE, OR CONTROL THESE SERVICES.
For services occurring on hotel or resort property, the applicable hotel, resort, venue, or its contracted provider retains operational responsibility. For off-property services, the applicable excursion provider, transportation provider, venue, entertainment provider, restaurant, hospitality provider, or other independent Supplier retains operational responsibility.
Voyage may facilitate Customer access to a Supplier service by communicating availability, facilitating a group reservation, coordinating reservation counts, transmitting information, facilitating payment, distributing credentials, and communicating Supplier-provided schedules, instructions, or meeting points. None of these actions transfers responsibility for operation of the underlying service from the Supplier to Voyage.
A Supplier may require Customer to accept separate terms and conditions, releases, waivers, age restrictions, dress codes, health or fitness requirements, safety instructions, identification requirements, or conduct policies. Customer is responsible for satisfying applicable Supplier requirements. Failure or refusal to do so may result in denial of participation and does not, by itself, create a refund obligation on the part of Voyage.
Certain private functions, Supplier reservations, group benefits, transportation arrangements, activities, entertainment, or other services facilitated through Voyage may be restricted to Customers participating through Voyage's official booking channels.
Booking the same hotel, resort, or destination independently does not automatically provide access to private functions, Supplier reservations, credentials, transportation, activities, or other arrangements facilitated through Voyage.
Where offered, an independently booked Traveler may be required to purchase a Party Pass, Experience Pass, upgrade, admission, or other access credential. Such access is subject to availability and is not guaranteed.
Credentials, wristbands, passes, tickets, and similar access devices are personal and non-transferable unless expressly authorized otherwise by Voyage or the applicable Supplier. Unauthorized duplication, transfer, resale, alteration, or misuse may result in revocation without refund.
11. ITINERARIES, SUPPLIER CHANGES, AND SUBSTITUTIONS
Voyage may provide an itinerary, schedule, agenda, travel guide, mobile itinerary, email, text message, group communication, or other document that compiles information relating to Supplier services associated with a Customer's trip.
A Voyage ITINERARY IS AN INFORMATIONAL AND COORDINATION TOOL. ITS USE DOES NOT MEAN THAT Voyage OPERATES, MANAGES, OR CONTROLS THE SERVICES IDENTIFIED ON THAT ITINERARY.
Supplier information communicated by Voyage is based upon information available to Voyage at the time of communication. Suppliers may modify, delay, relocate, substitute, postpone, or cancel their services because of availability, operational requirements, participation levels, weather, safety concerns, governmental action, mechanical issues, staffing, local conditions, Force Majeure, or other circumstances.
Voyage may update its itinerary or communications to reflect Supplier changes. Where commercially reasonable, Voyage may assist in identifying or facilitating access to an alternative Supplier or reasonably comparable service. Such assistance does not convert Voyage into the owner, operator, or provider of the replacement service.
Supplier substitutions, reasonable schedule changes, venue changes, relocations, delays, or similar alterations do not automatically entitle Customer to cancel the entire booking or receive a refund.
Voyage does not guarantee weather conditions, beach conditions, ocean conditions, nightlife conditions, entertainment availability, sunshine, rainfall, wildlife, environmental conditions, or other destination circumstances outside Voyage's reasonable control.
Voyage may also make reasonable administrative modifications to the Services where such changes do not materially reduce the overall scope of the Services purchased by Customer or materially increase the fees owed by Customer without Customer's agreement.
12. CUSTOMER CONDUCT, SAFETY, AND ASSUMPTION OF RISK
Travel inherently involves risk. Potential risks may include transportation accidents, illness, infectious disease, foodborne illness, crime, civil disturbance, severe weather, natural disasters, water activities, recreational activities, nightlife, alcohol consumption, physical activity, wildlife, unfamiliar environments, and differences in local safety, healthcare, sanitation, infrastructure, and emergency-response standards.
Customer voluntarily assumes the ordinary and inherent risks associated with travel and participation in independent Supplier activities.
Customer is responsible for determining whether Customer is physically capable of participating in any activity and for seeking appropriate professional medical advice where necessary. Voyage does not provide medical advice.
Customer must comply with applicable laws, Supplier requirements, and reasonable Voyage administrative requirements.
Voyage and/or the applicable Supplier may deny or discontinue Customer's participation where Customer engages in violence, threats, harassment, sexual harassment, illegal activity, property damage, dangerous conduct, unauthorized access, material disruption, fraudulent activity, or other conduct creating a legitimate safety or operational concern.
A Customer removed or denied participation because of Customer's misconduct is responsible for resulting expenses and is not entitled to reimbursement for unused Services except where required by law.
Customer is responsible for damage caused by Customer to hotels, resorts, rooms, vehicles, vessels, venues, equipment, or other property.
The presence of a Voyage representative during a trip or at a Supplier location does not constitute supervision of the Customer or operational control of the Supplier.
13. RIGHT TO REFUSE OR TERMINATE SERVICE
To the extent permitted by law, Voyage reserves the right to refuse a booking, terminate Customer's participation in the Voyage booking program, or discontinue administrative Services where reasonably necessary because of non-payment, fraud or suspected fraud, unauthorized payment activity, material breach of these Terms, threatening or abusive conduct, safety concerns, material interference with other Travelers, failure to provide required information, violation of Supplier requirements, misuse of Voyage credentials or systems, or other material circumstances affecting Voyage's ability to facilitate the reservation.
Where termination results from Customer's breach, misconduct, non-payment, fraud, or another Customer-caused event, applicable non-refundable amounts remain subject to these Terms and applicable Supplier policies.
Nothing in this provision authorizes Voyage to retain an amount that applicable law affirmatively requires to be refunded.
14. LIMITATIONS OF RESPONSIBILITY AND LIABILITY
Voyage acts as an intermediary for independent Suppliers and is not the source or direct provider of the underlying travel, accommodation, transportation, excursion, activity, entertainment, dining, or hospitality services.
Customer acknowledges that the Suppliers whose names appear in confirmations, itineraries, vouchers, tickets, waivers, or other travel documentation are responsible for providing their respective underlying services and that Supplier terms and conditions may govern the delivery of those services.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Voyage SHALL NOT BE LIABLE FOR PERSONAL INJURY, DEATH, PROPERTY DAMAGE, LOSS, DELAY, INCONVENIENCE, DISAPPOINTMENT, ADDITIONAL EXPENSE, OR OTHER DAMAGES ARISING FROM THE ACTS, ERRORS, OMISSIONS, NEGLIGENCE, WILLFUL ACTS, FAILURES, DEFAULTS, BANKRUPTCY, INSOLVENCY, OR OTHER CONDUCT OF AN INDEPENDENT SUPPLIER OR ITS EMPLOYEES, CONTRACTORS, AGENTS, OR REPRESENTATIVES.
This limitation includes claims arising from Supplier accommodations, transportation, vehicles, vessels, excursions, equipment, activities, venues, food or beverages, security, personnel, failure to deliver services, partial or inadequate delivery of services, delayed services, canceled services, Supplier schedule changes, mechanical problems, operational decisions, or other matters within the Supplier's ownership, operation, or control.
Voyage's assistance in communicating with a Supplier or attempting to resolve a Supplier-related problem does not constitute an admission that Voyage is responsible for the Supplier's acts, omissions, obligations, or performance.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Voyage SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO THE SERVICES, A SUPPLIER'S SERVICES, OR THIS AGREEMENT.
To the maximum extent permitted by applicable law, Voyage's aggregate liability arising from or relating to an affected Customer booking shall not exceed the amount of service fees and commissions actually received and retained by Voyage in connection with that affected booking.
Amounts collected by Voyage and paid, remitted, or payable to independent Suppliers are not considered amounts retained by Voyage for purposes of this limitation.
Nothing in these Terms excludes or limits liability that applicable law prohibits Voyage from excluding or limiting.
15. FORCE MAJEURE
"Force Majeure" means any circumstance beyond Voyage's reasonable control that prevents, impairs, delays, or materially affects performance. Such circumstances may include acts of God, hurricanes, tropical storms, floods, fires, earthquakes, volcanic activity or ash, severe weather, natural disasters, epidemics, pandemics, quarantine, public-health emergencies, war or threat of war, terrorism or threat of terrorism, sabotage, civil disturbance, riots, strikes, labor disputes, governmental intervention, border closures, travel restrictions, transportation shutdowns, utility failures, cyber incidents affecting Suppliers, mechanical failures, Supplier insolvency, or other extraordinary events outside Voyage's reasonable control.
Voyage shall not be deemed in breach of this Agreement to the extent performance is delayed, altered, impaired, or prevented by Force Majeure.
Where Voyage or an applicable Supplier is affected by Force Majeure, Voyage may reasonably modify, postpone, substitute, cancel, or assist in restructuring affected arrangements.
Any refund or credit relating to a Force Majeure event will be determined by applicable Supplier terms, amounts actually recovered or recoverable from Suppliers, applicable Travel Insurance or Trip Protection, and applicable law.
UNLESS REQUIRED BY APPLICABLE LAW, VOYAGE IS NOT REQUIRED TO ADVANCE ITS OWN FUNDS TO REIMBURSE CUSTOMER FOR AMOUNTS THAT HAVE BECOME NON-REFUNDABLE, WERE PROPERLY EARNED BY VOYAGE, OR WERE PAID OR COMMITTED TO A SUPPLIER AND CANNOT REASONABLY BE RECOVERED.
Where a Supplier subsequently returns funds attributable to a Customer's canceled Service, Voyage will process or account for such Supplier refund in accordance with the applicable Agreement, less any lawful non-refundable fees, costs, offsets, or amounts properly retained.
16. CHARGEBACKS AND PAYMENT DISPUTES
Customer retains all rights provided by applicable payment-card and consumer-protection laws. Customer agrees, however, not to knowingly make false, fraudulent, duplicative, or materially misleading representations in connection with a chargeback or payment dispute.
Customer is encouraged to provide Voyage a reasonable opportunity to investigate and attempt to resolve a billing or service issue before initiating a chargeback where circumstances reasonably permit.
If Customer initiates a chargeback or payment dispute, Customer authorizes Voyage to provide relevant transaction records to the applicable financial institution, card network, payment processor, collection provider, insurer, attorney, arbitrator, or court. Such records may include payment authorizations, registration information, booking confirmations, Supplier confirmations, Terms accepted by Customer, electronic acceptance records, communications, cancellation policies, cancellation requests, insurance information, payment history, and evidence of Services facilitated or performed.
A chargeback does not automatically cancel Customer's reservation, extinguish a valid debt, or terminate Customer's contractual obligations.
If a chargeback is resolved in Voyage's favor and the dispute was fraudulent, knowingly false, materially misleading, or otherwise wrongfully asserted, Customer agrees, to the extent permitted by law, to reimburse Voyage for actual and reasonable chargeback-related administrative and research costs, not to exceed $500 per disputed transaction, together with merchant-processing, banking, or chargeback fees actually assessed against Voyage because of the dispute.
Voyage reserves all lawful rights and remedies to recover amounts properly owed.
Nothing in this Section penalizes a Customer for asserting a legitimate chargeback, statutory right, or payment dispute in good faith.
17. COLLECTIONS
If Customer has a valid unpaid balance and does not make satisfactory payment arrangements, Voyage may refer or assign the account to an authorized collection agency, attorney, or other service provider.
To the extent permitted by applicable law, Customer shall be responsible for reasonable costs incurred in collecting a valid unpaid obligation, including collection expenses, court costs, and reasonable attorneys' fees where such amounts are recoverable under this Agreement, applicable law, a judgment, or an arbitration award.
Voyage and its authorized service providers may communicate with Customer regarding amounts owed using contact information provided by Customer, including telephone, email, or text message, subject at all times to applicable communications, privacy, and debt-collection laws.
Nothing in these Terms constitutes consent to communications prohibited by law, waives a non-waivable consumer right, or independently authorizes automated, artificial-voice, prerecorded, or similar communications where separate consent is legally required.
Any credit reporting will occur only where legally authorized and through an entity legally permitted to furnish such information.
18. CUSTOMER INDEMNIFICATION
To the maximum extent permitted by law, Customer agrees to indemnify and hold harmless Get Up 2 Go, LLC d/b/a Voyage Destination Weddings and its officers, employees, and authorized representatives from third-party claims, damages, fines, penalties, liabilities, costs, or expenses arising from Customer's unlawful conduct, material breach of this Agreement, false or materially inaccurate information, property damage caused by Customer, violation of Supplier rules, unauthorized use of another person's payment method, unauthorized transfer or resale of credentials, or representation that Customer had authority to act for another Traveler when Customer lacked such authority.
This indemnification provision does not require Customer to indemnify Voyage for liability that applicable law prohibits Voyage from transferring to Customer.
19. DISPUTE RESOLUTION; BINDING INDIVIDUAL ARBITRATION
Informal Dispute Resolution
Before initiating arbitration or litigation, the party asserting a dispute shall provide written notice to the other party describing the claimant, applicable booking or transaction, nature of the dispute, material facts supporting the dispute, and requested resolution.
Notices to Voyage must be submitted to info@voyagedestinationweddings.com.
The parties agree to attempt in good faith to resolve the dispute for at least thirty (30) calendar days following receipt of notice before commencing formal proceedings, except where immediate action is reasonably necessary to preserve a legal right or limitations period.
Binding Individual Arbitration
PLEASE READ THIS PROVISION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Except for claims properly eligible for small-claims court, requests for temporary or preliminary injunctive relief where legally permitted, and claims that applicable law does not permit to be subject to mandatory arbitration, any dispute, claim, or controversy arising out of or relating to these Terms, a Voyage booking, payment, cancellation, Services, or the relationship between Customer and Voyage shall be resolved through binding individual arbitration administered by the American Arbitration Association ("AAA") under the AAA Consumer Arbitration Rules and Mediation Procedures applicable when the claim is filed.
The arbitration agreement shall be interpreted consistently with the Federal Arbitration Act to the extent applicable.
Arbitration may proceed virtually or through another format authorized by the applicable AAA Rules. Where an in-person hearing is required and the parties do not otherwise agree, the hearing shall occur in North Carolina at a location permitted by applicable law and the applicable AAA Rules.
The arbitrator may award any individual remedy authorized by applicable substantive law. Judgment upon an arbitration award may be entered in any court of competent jurisdiction.
CUSTOMER AND Voyage UNDERSTAND THAT ARBITRATION GENERALLY REPLACES THE RIGHT TO HAVE AN ARBITRABLE CLAIM DECIDED BY A JUDGE OR JURY.
Class, Collective, and Representative Action Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CUSTOMER AND Voyage AGREE THAT ARBITRABLE CLAIMS SHALL BE BROUGHT SOLELY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE-ATTORNEY-GENERAL, OR REPRESENTATIVE PROCEEDING.
The arbitrator may not consolidate claims of unrelated Customers or preside over a class or representative arbitration except where applicable law requires otherwise.
If a court of competent jurisdiction finally determines that this waiver is unenforceable as to a particular claim or remedy, that claim or remedy shall proceed as required by applicable law and shall not be converted into class arbitration unless applicable law affirmatively requires that result.
Arbitration Opt-Out
Customer may opt out of the arbitration and class-action-waiver provisions by sending written notice to info@voyagedestinationweddings.com no later than thirty (30) calendar days after Customer first accepts these Terms.
The notice must identify Customer, the email address associated with the booking, the booking or registration number if available, and clearly state that Customer elects to opt out of the arbitration agreement.
Opting out of arbitration does not cancel Customer's reservation or prevent Customer from purchasing Voyage Services. All remaining provisions of this Agreement continue to apply.
20. GOVERNING LAW AND VENUE
Except where federal law governs a particular issue or non-waivable consumer law requires otherwise, these Terms and the relationship between Customer and Voyage shall be governed by the laws of the State of North Carolina, without regard to conflict-of-law principles.
For disputes not required to be arbitrated, the parties consent to personal jurisdiction in North Carolina.
To the fullest extent permitted by applicable law, any judicial proceeding arising from or relating to this Agreement shall be brought in a state or federal court having jurisdiction in or over Wake County, North Carolina.
Nothing in these Terms shall be interpreted as requiring a North Carolina Customer to prosecute an action or arbitration in another state where such a requirement would be prohibited by applicable law.
21. ELECTRONIC RECORDS, COMMUNICATIONS, MODIFICATIONS, AND NOTICES
Customer agrees that electronic signatures, checkbox acceptance, electronic records, and electronically transmitted agreements may be used in connection with the booking to the extent permitted by applicable law.
Voyage may maintain transaction and acceptance records, including Customer's name, email address, booking number, transaction information, date and time of acceptance, version of Terms accepted, payment history, electronic signature or checkbox acceptance, and other information lawfully maintained in connection with the transaction.
Customer should download, print, save, or otherwise retain a copy of the Terms applicable to Customer's booking. Customer may request an available paper copy by contacting Voyage.
Customer agrees that Voyage may send transactional communications reasonably related to Customer's reservation using contact information supplied by Customer, subject to applicable law. Such communications may include booking confirmations, payment reminders, travel information, Supplier information, schedule changes, flight-information requests, administrative notices, and other information relating to Customer's transaction.
Customer is responsible for maintaining accurate contact information and reviewing communications sent to the email address, telephone number, or account provided to Voyage.
Voyage may modify these Terms for future transactions. Each version will state its applicable effective date.
A material amendment will not automatically alter an existing Customer transaction merely because revised Terms are posted on the Voyage website. Where Voyage seeks to apply materially revised Terms to an existing transaction, the revised Terms will be presented for affirmative acceptance where required by applicable law.
Formal notices to Voyage must be submitted in writing to Get Up 2 Go, LLC d/b/a Voyage Destination Weddings at info@voyagedestinationweddings.com. Notices to Customer may be sent to the contact information supplied in connection with Customer's reservation.
22. WAIVER, ASSIGNMENT, THIRD-PARTY BENEFICIARIES, SEVERABILITY, SURVIVAL, AND ENTIRE AGREEMENT
Waiver
No waiver by Voyage of any provision of this Agreement is effective unless expressly made in writing by an authorized representative of Voyage. Failure or delay in exercising any right, remedy, power, or privilege does not operate as a waiver of that right. A single or partial exercise of a right does not prevent later exercise of that or another right.
Assignment
Customer may not assign, delegate, transfer, sell, or otherwise convey Customer's contractual rights or obligations under this Agreement without Voyage's prior written consent. Any attempted assignment in violation of this provision is void to the extent permitted by law.
Voyage may assign this Agreement in connection with a lawful merger, acquisition, reorganization, sale of assets, financing transaction, restructuring, or business succession.
No Third-Party Beneficiaries
Except as expressly provided in an applicable Supplier agreement, Travel Insurance policy, or other incorporated agreement, this Agreement is for the benefit of Voyage and Customer and is not intended to create legal or equitable rights, benefits, or remedies in unrelated third parties.
Severability
If any provision of this Agreement is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
To the extent legally permissible, an invalid or unenforceable provision shall be interpreted or modified only to the minimum extent necessary to make it enforceable while preserving its intended purpose as closely as possible.
Survival
Provisions relating to payment obligations, cancellations, chargebacks, collections, Supplier responsibility, assumption of risk, limitation of liability, indemnification, dispute resolution, governing law, and any other provisions that by their nature should survive shall remain effective following cancellation, completion of travel, or termination of the Agreement.
Entire Agreement
These Terms, together with the applicable Sales Confirmation, booking confirmation, invoice, payment schedule, trip-specific disclosures, Supplier terms made available to Customer, Travel Insurance documents, Trip Protection terms, and other documents expressly incorporated into the transaction constitute the entire agreement between Customer and Voyage concerning the Services.
This Agreement supersedes prior or contemporaneous understandings, communications, proposals, negotiations, and representations concerning the same transaction to the extent they are inconsistent with the written Agreement.
Customer acknowledges that Customer has not relied upon an oral representation materially inconsistent with the written Agreement.
A printed or electronically retained copy of this Agreement and related electronic records may be used as evidence of the transaction to the extent permitted by applicable law.
Any rights not expressly granted herein are reserved.
